Ad Placement PolicyEffective Date: 29th September 2025

1. Introduction

This Ad Placement Policy (“Policy”) governs the participation of all publishers (“Publishers”) in the Doceree advertising program (“Program”). These Policies constitute a binding legal framework between you (“you” or “your”) and Doceree Inc., a Delaware corporation with its principal place of business in the United States, together with its affiliates, subsidiaries, and related entities globally (collectively, “Doceree,” “we,” “us,” or “our”). By participating in the Program, you acknowledge and agree to comply with all terms set forth herein, as well as all applicable laws, regulations, and industry standards governing digital advertising, data privacy, and content placement.

For purposes of this Policy, a “Publisher Property” or “Publisher Properties” means any website, mobile application, or other digital property that you operate or control and through which Doceree advertisements are served. As a Publisher, you are responsible for ensuring that all ad inventory provided to Doceree via your Publisher Property or Properties meets the standards established under this Policy. Doceree reserves the right, at its sole discretion, to disable ad serving on any Publisher Property or Properties, suspend Program participation, or terminate your account for any violation of this Policy. Accounts that are terminated or suspended due to non-compliance will not be eligible for reinstatement or further participation in the Program.

Publishers must not place Doceree advertisements on any Publisher Properties containing content that is adult, mature, or otherwise unsafe for general audiences. While interpretations of such content may vary across jurisdictions, all Publishers are held to a uniform standard to maintain a safe, professional, and compliant advertising ecosystem. In cases of uncertainty regarding the suitability of any Publisher Property, the guiding principle is that you should not place Doceree ad code on pages you would not want a minor to access, or on pages that would be inappropriate or embarrassing to display in a professional or workplace environment.

Doceree reserves the right to amend this Policy at any time, with or without prior notice, and your continued participation in the Program constitutes acceptance of any such amendments. The Program is part of the proprietary advertising management, analytics, and campaign optimization services operated by Doceree, including the AdManager Platform and associated tools and resources (collectively, the “Services”), which facilitate the delivery and management of advertisements across Publisher Properties.

2. General Guidelines

  1. Legal and Regulatory Compliance: Publishers must ensure that all digital properties delivering Doceree advertisements comply with all applicable laws, regulations, and industry standards in the jurisdictions where ads are served. Publishers may not provide inventory on pages or properties that facilitate or promote illegal activities or products, including, without limitation, gambling, illegal drugs, weapons, tobacco (where prohibited), or other age-restricted goods without appropriate verification mechanisms.

  2. Content Suitability and Safety: Publishers are responsible for maintaining a safe and professional environment for ad placement. Ad inventory must not be associated with content that is misleading, deceptive, or otherwise harmful to users, including exaggerated claims or unverified information in the surrounding content.

  3. Respect and Non-Discrimination: Publishers must not place Doceree advertisements on pages containing discriminatory, offensive, or hateful material based on race, ethnicity, religion, gender, sexual orientation, disability, age, or any other personal characteristic. All Publisher Properties must uphold respectful and inclusive standards.

  4. Brand Safety and Quality Standards: Doceree reserves the right, at its sole discretion, to restrict or reject ad serving on Publisher Properties that could adversely affect Doceree’s brand, reputation, or user experience. This includes, without limitation, properties featuring low-quality content, violent material, or content that conflicts with Doceree’s core values and professional standards.

3. Ad Placement Restrictions and Prohibitions

For the purpose of publishing Ads provided by Doceree, “Ads” shall mean all promotional content delivered by Doceree for placement on Publisher Properties, including but not limited to:

  • Display banners, text ads, video ads, rich media, and interactive content;
  • Native advertising, sponsored content, and programmatic placements;
  • Any modifications, derivatives, or adaptations of the foregoing created, formatted, or provided by Doceree;
  • Tracking scripts, pixels, or code necessary for the delivery, measurement, or reporting of Ads.

Ads are intended for professional, legally compliant, and legally permissible digital properties, and may not be placed in contexts that expose Doceree or its clients to reputational, legal, regulatory, or safety risks.

  • Nudity and Pornography: For the purpose of publishing Ads provided by Doceree, Publisher Properties containing nudity or pornography are strictly prohibited, as such content can expose Doceree and its clients to reputational harm, potential legal liabilities under local decency or obscenity laws, and is inappropriate for professional audiences. Ads may not be placed on any Publisher Property that contains or depicts:
    • Sexual intercourse, genital exposure, or explicit sexual acts;
    • Pornographic cartoons, anime, or hentai;
    • Material intended primarily for sexual stimulation;
    • Erotic videos, images, or games.

    Publishers must ensure that all adult, erotic, or pornographic content is excluded from pages serving Ads.

  • Sexually Gratifying or Suggestive Content: For the purpose of placing Ads, Publisher Properties featuring sexually suggestive content, erotic poses, or content intended to cause sexual arousal are legally and contractually prohibited. Such pages present reputational risk and may contravene local advertising and decency regulations. Ads may not be placed on pages containing:
    • Close-ups of sexualized body parts (breasts, buttocks, genitals);
    • Seductive posing, undressing, or erotic simulations;
    • Lingerie, sheer, or revealing clothing intended to sexualize the subject;
    • Digitally enhanced or animated content designed to sexually stimulate viewers.
  • Fetishes, Sexual Aids, and Enhancement Products: Publisher Properties promoting fetishes, sexual aids, or sexual enhancement tools present reputational, legal, and compliance risks, including regulatory scrutiny regarding sexual health claims and adult products. Ads may not be placed on pages that:
    • Promote sexual fetishes, including bestiality, necrophilia, incest, voyeurism, bondage, or sadomasochism;
    • Sell sexual devices, toys, lubricants, or enhancement tools;
    • Discuss or recommend sexual performance enhancement medications (e.g., erectile dysfunction drugs), which are subject to specific healthcare regulations.
  • Recreational Drugs and Drug-Related Content: For the purpose of publishing Ads, pages that promote recreational drugs or drug-related content are legally and reputationally prohibited, as they may facilitate illegal or unsafe activities. Ads may not be placed on pages containing:
    • Promotion of substances intended to alter mental state (e.g., cocaine, meth, heroin, marijuana, “legal highs”);
    • Products or services facilitating drug use (e.g., bongs, pipes, cannabis cafés);
    • Instructional content about producing, purchasing, or using illegal drugs;
    • Links to prohibited drug-related content.
  • Mail Order Brides, Escort Services, Adult or Sexual Dating Sites: Publisher Properties offering adult services, sexual dating, or escort-related content are legally and contractually prohibited from serving Ads, due to reputational and compliance concerns. Ads may not be placed on pages containing:
    • Personal ads for sexual encounters or affairs;
    • Escort or companionship services;
    • Mail order bride services;
    • Erotic massage or adult entertainment offerings.
  • Adult Links to External Sites: Publisher Properties that link to adult or mature content outside the site present indirect reputational and compliance risks. Ads may not be placed on pages that:
    • Provide links to adult or pornographic websites;
    • Redirect users to sexually explicit content;
    • Actively promote third-party adult services.
  • Comment Spam: For the purpose of publishing Ads, Publisher Properties containing comment spam are prohibited, as spam undermines user trust, ad effectiveness, and may expose Doceree to legal liability. Ads may not be placed on pages containing:
    • Random, nonsensical, or repeated content copied across forums;
    • Adult language in user-generated comments;
    • Content unrelated to the main topic of the page.
  • Sexual Tips and Health Advice: Pages providing sexual performance advice or sexual health treatments pose reputational and regulatory risks. Ads may not be placed on pages containing:
    • Guidance on sexual performance improvement;
    • Content or images regarding sexually transmitted diseases;
    • Sexual health advice related to pregnancy, family planning, or childbirth.
  • Dangerous or Derogatory Content: Publisher Properties containing dangerous, hateful, or derogatory material are strictly prohibited, as they may encourage harm, harassment, or discrimination. Ads may not be placed on pages that:
    • Threaten or advocate harm to self or others;
    • Promote bullying, harassment, or discrimination;
    • Encourage hate or violence against protected groups;
    • Promote terrorism, terrorist acts, or extremist groups;
    • Suggest tragic events are fabricated or conspiratorial.
  • Alcohol-Related Content: For compliance and reputational reasons, Publisher Properties promoting irresponsible alcohol consumption or online alcohol sales are prohibited. Ads may not be placed on pages containing:
    • Online alcohol sales;
    • Promotion of binge drinking, excessive drinking, or drinking competitions.
  • Tobacco-Related Content: Publisher Properties promoting tobacco products pose legal and health risks. Ads may not be placed on pages containing:
    • Cigarettes, cigars, or tobacco pipes;
    • Rolling papers or related tobacco accessories;
    • Links to pages violating tobacco advertising regulations.
  • Gambling and Online Gaming: Pages promoting gambling or real-money games present legal, reputational, and compliance risks. Ads may not be placed on pages containing:
    • Online casinos or betting platforms;
    • Sports betting or lottery ticket sales;
    • Affiliates or aggregator sites promoting online gambling.
  • Healthcare-Related Content: Publisher Properties promoting unapproved or unsafe healthcare products may violate laws and expose Doceree to liability. Ads may not be placed on pages containing:
    • Sale of unapproved pharmaceuticals or supplements;
    • Herbal or dietary supplements with unsafe or active pharmaceutical ingredients;
    • Confusingly named products suggesting unapproved drugs or controlled substances.
  • Hacking and Cracking Content: Pages promoting hacking or unauthorized system access pose significant legal and reputational risks. Ads may not be placed on pages containing:
    • Instructions or software for hacking or cracking;
    • Guides for unauthorized access to networks, servers, or software;
    • Tools designed to compromise digital security.
  • Pages Offering Compensation Programs: Publisher Properties promising rewards for clicks, web surfing, or other tasks present fraud, invalid click, and compliance risks. Ads may not be placed on pages containing:
    • Incentives for ad clicks or website visits;
    • Guides or tutorials for click fraud or paid-to-click services.
  • Misrepresentative Content: Pages containing deceptive or misleading information create legal and reputational liability. Ads may not be placed on pages containing:
    • False, misleading, or unclear content;
    • Phishing or impersonation attempts;
    • Misrepresentation of affiliation with Doceree or other entities;
    • Promotion of dishonest claims (e.g., “get rich quick” schemes).
  • Shocking Content: Publisher Properties displaying graphic, gory, or violent imagery pose reputational and audience-safety risks. Ads may not be placed on pages containing:
    • Graphic depictions of blood, injury, or death;
    • Images or videos of violence, explosions, or execution;
    • Content designed to shock or disturb audiences.
  • Weapon-Related Content: Pages promoting weapons, explosive materials, or violence present significant legal and reputational exposure. Ads may not be placed on pages containing:
    • Firearms sales, parts, or accessories;
    • Explosive devices or guides to manufacture explosives;
    • Weapons designed for harm in sport, combat, or self-defense;
    • Instructions for weapon use to injure others.
  • Content Enabling Dishonest Behavior: Publisher Properties containing instructions or materials to mislead or defraud users are prohibited. Ads may not be placed on pages containing:
    • Instructions for fake identities or documents;
    • Exam-taking, term paper, or academic fraud services;
    • Information to bypass drug tests or commit fraud;
    • Materials promoting other forms of dishonest or illegal behavior.
  • Illegal Content: Publisher Properties promoting illegal activities or content infringing legal rights are strictly prohibited. Ads may not be placed on pages containing:
    • Counterfeit goods or trademark infringement;
    • Child sexual abuse imagery or pedophilia;
    • Content violating copyright, patent, or other proprietary rights;
    • Content violating laws regarding security, public order, or privacy.
  • Harmful or False Content: Pages containing intentionally misleading, harmful, or untrue content create legal and reputational risks. Ads may not be placed on pages containing:
    • Material intended to deceive, harass, or defraud individuals or entities;
    • Software viruses or malicious programs;
    • Content falsely attributing actions or statements to individuals or organizations.

4. Publisher Responsibility for Content

Publishers acknowledge and agree that they are solely responsible for all content on their Publisher Properties, including but not limited to:

  • Editorial, promotional, or multimedia content created or published directly by the Publisher; and
  • User-generated content (UGC), including comments, forum posts, reviews, or any material submitted by users independently of the Publisher.

Because UGC is created outside the Publisher’s direct control, Publishers must ensure that all content on their Publisher Properties, whether created by the Publisher or users, complies with this Policy and all applicable local, national, and international laws.

Publishers must ensure that content does not:

  • Contain illegal, obscene, pornographic, sexually explicit, or otherwise prohibited material;
  • Infringe any intellectual property, privacy, or publicity rights of third parties;
  • Contain viruses, malware, ransomware, or other harmful code; or
  • Encourage, facilitate, or depict illegal, unsafe, or fraudulent activity.

Doceree does not review, control, or take responsibility for any content on Publisher Properties, including user-generated or embedded third-party content. Publishers are fully responsible for managing, moderating, and ensuring compliance of all content, and agree to indemnify and hold harmless Doceree, its affiliates, and clients for any claims, losses, or damages arising from such content.

5. Additional Requirements

For the purpose of publishing Ads provided by Doceree, it is critical that Publisher Properties do not host, display, upload, modify, publish, transmit, store, update, or share any content or information that may expose Doceree, its clients, or end-users to legal, reputational, or safety risks. Accordingly, Ads may not be placed on any Publisher Property containing content that:

  • Belongs to another person or entity without proper authorization or rights;
  • Is defamatory, obscene, pornographic, pedophilic, or invasive of another’s privacy (including bodily privacy);
  • Is insulting, harassing, or discriminatory based on gender, race, ethnicity, religion, disability, sexual orientation, age, nationality, veteran status, or other protected characteristics;
  • Encourages or facilitates illegal activity, including but not limited to money laundering, gambling, or other unlawful conduct;
  • Is harmful to minors or endangers the safety of children;
  • Infringes on any patent, trademark, copyright, or other proprietary rights;
  • Violates applicable local, national, or international laws, regulations, or ordinances;
  • Misleads, deceives, or misrepresents the origin, nature, or content of information to end-users;
  • Impersonates any individual, organization, or entity;
  • Threatens the unity, integrity, defense, security, or sovereignty of any nation, interferes with public order, or incites the commission of any cognizable offense;
  • Contains viruses, malware, ransomware, or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of computer systems or networks; or
  • Is knowingly false, untrue, or published with the intent to mislead, harass, or cause financial or physical harm to any individual, entity, or agency.

Publishers are responsible for ensuring that no Ads are displayed on pages that contain any of the foregoing content, regardless of whether such content originates from the Publisher or third parties, including user-generated content.

6. User Experience and Viewability Standards

For the purpose of publishing Ads provided by Doceree, it is critical to maintain a high-quality user experience across all Publisher Properties. Ads must not interfere with navigation, obscure content, or disrupt the usability of the Publisher Property. Publishers must ensure that all Ads meet minimum viewability standards, including but not limited to visibility thresholds specified by Doceree or recognized industry bodies (e.g., 50% of the Ad in view for at least 1 second). Publishers shall ensure Ads are displayed in positions that are clearly distinguishable from editorial content or user-generated content.

7. Tracking, Reporting, and Analytics

For the purpose of publishing Ads provided by Doceree, Publishers must permit Doceree to deploy and maintain tracking mechanisms, including pixels, cookies, scripts, and other analytics tools, to monitor Ad performance and verify impressions and clicks. Publishers must not remove, obscure, alter, or otherwise interfere with any such tracking or measurement technology. Publishers shall provide accurate traffic, placement, or other data related to Ad performance upon request by Doceree.

8. Ad Review and Approval Process

For the purpose of publishing Ads provided by Doceree, Doceree reserves the right, at its sole discretion, to review, approve, suspend, or reject Ads on any Publisher Property. Publishers must not serve Ads that have not been approved by Doceree or that violate applicable law or industry standards. In the event of non-compliance, Doceree may suspend or remove Ads immediately. Publishers may submit clarifications or requests for reinstatement, but Doceree’s decisions regarding compliance, suitability, or approval of Ads shall be final.

9. Compliance with Laws, Industry Standards, and Consent Requirements

For the purpose of publishing Ads provided by Doceree, Publishers must ensure full compliance with all applicable local, national, and international laws, regulations, and industry standards, including, without limitation, data privacy and protection laws (e.g., GDPR, CCPA); Child protection and online safety laws (e.g., COPPA); Healthcare and medical advertising regulations (e.g., HIPAA); and Advertising and content standards promulgated by recognized authorities and industry bodies (e.g., IAB, MRC).

Publishers must obtain all necessary consents, approvals, and authorizations from end users, content creators, or other relevant parties prior to publishing Ads or transmitting content, data, or tracking information to Doceree for the purpose of delivering, measuring, or optimizing Ads.

Ads may not be served on any Publisher Property that violates applicable legal or regulatory obligations, decency standards, or advertising guidelines. Publishers are responsible for maintaining evidence of such consents and for providing relevant content or data to Doceree, as reasonably required, to support the provision of Doceree’s advertising, analytics, and management services.

10. Prohibited Practices

For the purpose of publishing Ads provided by Doceree, the following practices are strictly prohibited:

  • Manipulating Ads to generate artificial clicks or impressions, including auto-clicking or incentivized clicks;
  • Ad stacking, hiding, or obscuring Ads behind other content;
  • Serving Ads via unauthorized domains, subdomains, or third-party platforms without Doceree approval;
  • Modifying, disguising, or rebranding Ads in any manner.

11. Disclaimer

All Ads, content, tracking, analytics, and related services provided via the AdManager Platform or Publisher Properties are offered without any representation, warranty, or assurance, express or implied, including, without limitation, warranties of accuracy, completeness, fitness for purpose, or compliance with laws. Except as otherwise agreed, Doceree disclaims all liability for placement, performance, or outcomes arising from the use, display, or distribution of Ads or content on Publisher Properties.

12. Suspension, Termination, and Remedies

For the purpose of publishing Ads provided by Doceree, Doceree may suspend or terminate participation in the Program, in whole or in part, for any violation of this Policy. Publishers whose accounts are suspended or terminated may forfeit accrued payments at Doceree’s discretion. Doceree may also exercise any other remedies available under law, including claims for damages arising from non-compliance, misplacement, or misuse of Ads.

13. Reporting Violations

For the purpose of publishing Ads provided by Doceree, Publishers must promptly report any observed or suspected violations of this Policy, including, but not limited to, exposure of Ads to prohibited content, malware, offensive user-generated content, or other non-compliant materials. Doceree reserves the right to conduct periodic audits of Publisher Properties to verify compliance and identify potential violations.

14. Intellectual Property Ownership

For the purpose of publishing Ads provided by Doceree, all intellectual property rights in the content of Ads, including but not limited to logos, trademarks, images, text, videos, and interactive elements, remain the exclusive property of Doceree or its respective clients. Publishers shall not claim any ownership, license, or other rights in the Ads except for the limited, non-transferable right to display them in accordance with this Policy. Publishers shall not modify, reproduce, distribute, or create derivative works of Ads without prior written consent from Doceree.

15. Liability and Indemnification

For the purpose of publishing Ads provided by Doceree, Publishers shall be fully responsible for any legal, financial, or reputational consequences arising from misplacement, improper display, or non-compliance with this Policy. Publishers agree to indemnify, defend, and hold harmless Doceree and its affiliates, clients, and representatives from and against any claims, damages, losses, or expenses resulting from Publisher violations, including regulatory penalties, litigation costs, or reputational harm.

16. Technical Requirements

For the purpose of publishing Ads provided by Doceree, Publishers must ensure that Publisher Properties meet all technical specifications necessary for proper Ad delivery. This includes, but is not limited to, page load speed, mobile responsiveness, supported browsers and devices, Ad dimensions, and compatibility with programmatic or dynamic ad serving. Publishers must promptly remedy any technical issues that interfere with Ad delivery or tracking.

17. Audit and Access

For the purpose of publishing Ads provided by Doceree, Doceree or its designated agents may conduct audits, inspections, or tests of Publisher Properties to ensure compliance with this Policy. Publishers shall provide reasonable access, reports, or information as requested to facilitate such audits. Failure to cooperate may result in suspension or termination of the Publisher’s participation in the Program.

18. Amendments

Doceree reserves the right to amend, update, or modify this Policy at any time. Such amendments may include changes to prohibited content, technical standards, operational rules, or compliance requirements. Continued participation in the Program constitutes acceptance of any amendments. Publishers are responsible for reviewing the Policy regularly to remain compliant.

19. Grievance and Contact

Publishers or users who have any questions, concerns, or complaints regarding this Policy, the placement of Ads, or compliance matters may contact Doceree’s legal team. All grievances should be submitted in writing to:

Doceree will review and respond to all submissions in a timely manner. Publishers are encouraged to provide sufficient detail, including relevant Publisher Property URLs, description of the issue, and any supporting documentation, to facilitate proper investigation and resolution.
