Ad Implementation PolicyEffective Date: 29th September 2025

1. Introduction

This Ad Implementation Policy (the “Policy”) sets forth the binding rules, standards, and obligations governing the technical integration, deployment, and operational management of advertisements (“Ads”) within Publisher Properties, including, without limitation, mobile applications, websites, or other digital platforms controlled or operated by the Publisher (collectively, “Publisher Properties”), in connection with the Doceree advertising program (the “Program”). This Policy supplements, and must be read in conjunction with, Doceree’s Ad Placement Policy , which is expressly incorporated herein by reference and forms an integral part of the obligations of Publishers under the Program.

This Policy is issued by Doceree Inc., a Delaware corporation with its principal place of business at 150 John F Kennedy Parkway, Suite 403, Short Hills, NJ 07078, USA, together with its affiliates, subsidiaries, and related entities (collectively, “Doceree,” “we,” “us,” or “our”). For the purposes of this Policy, “Publisher” means any individual, company, or entity that operates or controls Publisher Properties through which Doceree Ads may be served.

By participating in the Program, Publishers expressly acknowledge and agree that compliance with this Policy is a mandatory condition of participation. Any violation, whether intentional or inadvertent, may result in immediate remedial action by Doceree, including but not limited to suspension or termination of Program access, withholding of accrued payments, removal of Ads, and the pursuit of all available legal, equitable, or contractual remedies.

Publishers further acknowledge that this Policy establishes minimum technical, operational, and user experience standards designed to ensure Ads are deployed in a safe, professional, and compliant manner, thereby protecting end-users, the integrity of Publisher Properties, Doceree’s reputation, and the Program as a whole. Publishers remain fully responsible for the proper implementation of Ads in accordance with this Policy, the Ad Placement Policy, applicable laws, and any contractual obligations arising under the Program.

For the avoidance of doubt, this Policy applies to all current and future integrations of Doceree Ads within Publisher Properties, whether displayed directly via Doceree code, third-party SDKs, programmatic platforms, or any other technology that delivers Ads as part of the Program. Compliance with this Policy, including all technical, operational, and content-related provisions herein, is a material condition of participation in the Program.

2. Ad Placement Standards

  • Non-Disruptive User Experience
    Publishers must ensure that all Ads deployed through the Program are implemented in a manner that does not interfere with the ordinary and intended use of the Publisher Property. Ads must not overlay, obscure, or interfere with any core content, interactive control, navigational element, or system-level functionality. Placement of Ads in locations is likely to result in accidental user engagement, including areas immediately adjacent to buttons, form fields, scrollable regions, or other interactive elements, is strictly prohibited.
  • Prohibition on Dead-End Screens
    Ads must not be placed on screens from which users cannot navigate away without interacting with the Ad (i.e., “dead-end screens”). If such placement is unavoidable due to application design constraints, Publishers must provide a clear, conspicuous, and unambiguous notification to the user specifying the mechanism to exit the screen (e.g., a home button, back button, or menu option). Forced interaction with an Ad as a condition of navigation or application functionality is strictly prohibited.
  • Background and External Placement Restrictions
    Ads must only appear within the active context of the Publisher Property. Ads displayed outside of this context—including in device-level widgets, pre-launch overlays, post-exit screens, or external frames—are strictly prohibited. Publishers must ensure that all Ads clearly indicate their association with the relevant Publisher Property to prevent user confusion or misattribution of content.
  • Core Content Protection
    Ads must not obscure, replace, or otherwise interfere with the visibility, accessibility, or functionality of the Publisher Property’s core content. Interstitials, pop-ups, or other interruptive formats must not trigger excessively or repetitively in ways that disrupt normal navigation, interactions, or user engagement, unless expressly permitted by Doceree in writing.
  • Non-Content-Based Screens
    Ads must not be placed on ephemeral, transactional, or otherwise non-substantive screens, including but not limited to thank-you pages, error pages, login/logout screens, or exit pages. Placement of Ads on such screens may mislead users into perceiving Ads as content, thereby diminishing user trust and violating Program standards.

3. Third-Party Content Restrictions

  • Framing of Third-Party Content
    Publishers are prohibited from framing or embedding third-party content within their Publisher Properties for the purpose of monetization through the Program without the express prior written consent of the content owner. In circumstances where the Publisher owns the content, framing is permitted; however, content already monetized through Doceree Ads must not contain duplicate Doceree ad code to prevent double monetization, conflicting tracking, or reporting errors.
  • Sub-Syndication and Ad Network Mediation
    Publishers may not allow third-party intermediaries to place Doceree Ads or enter into sub-syndication arrangements. Doceree requires a direct contractual relationship with each Publisher. Publishers are responsible for ensuring compliance with this provision across all distribution channels, including app stores, partner networks, or affiliate platforms.

4. Data and Information Management

  • Reporting Console Access
    Publishers must not share access to Doceree’s reporting console or any programmatic dashboards with third parties, except with prior written consent from Doceree specifying which metrics may be shared. Unauthorized access or dissemination constitutes a material breach of this Policy.
  • Source Code and SDK Restrictions
    Publishers are strictly prohibited from sharing Doceree’s source code, software development kits (“SDKs”), or uncompiled code with third parties. Reverse engineering, modification, or other derivations of Doceree code are prohibited unless expressly authorized in writing by Doceree.

5. Personalized and Interest-Based Advertising

Doceree may utilize device identifiers, behavioral data, and other anonymized or pseudonymized data to serve personalized or interest-based Ads. Publishers are responsible for:

  • Ensuring that all such activities comply with applicable data protection and privacy laws, including, without limitation, GDPR, CCPA, and local privacy regulations.
  • Reviewing and updating their privacy policies to reflect accurately the use of personalized advertising and data collection practices.
  • Obtaining all necessary consents or permissions from end-users prior to serving interest-based or personalized Ads.

6. Technical Requirements and Best Practices

  • Ad Load and Display
    Ads must load efficiently without negatively impacting application performance or user experience. Publishers must implement robust error handling for failed ad loads and ensure fallback mechanisms that maintain core functionality of the Publisher Property.
  • Frequency and Timing
    Interstitial or other interruptive Ads must be displayed in a manner that avoids excessive frequency or user fatigue. Rewarded Ads must be opt-in, clearly communicate the reward mechanism, and not be used to coerce or manipulate user behavior.
  • Accessibility
    All Ads must be accessible to users with disabilities, including but not limited to screen reader compatibility, keyboard navigation, and closed captioning for multimedia content.
  • Device Compatibility
    Ads must be rendered correctly across all supported devices, operating systems, and screen resolutions. Publishers must conduct regular testing to ensure technical compatibility and seamless user experience.

7. Compliance and Enforcement

Publishers are solely responsible for compliance with this Policy, the Ad Placement Policy, and all applicable laws and regulations. Doceree reserves the right to audit Publisher Properties at any time to verify adherence. Non-compliance may result in suspension or termination from the Program, withholding payments, removal of Ads, and any other legal or equitable remedies available to Doceree. Publishers agree to indemnify, defend, and hold harmless Doceree, its affiliates, officers, directors, and clients from any claims, damages, losses, or liabilities arising from improper ad implementation, including but not limited to user complaints, regulatory enforcement, or data breaches.

8. Disclaimer

All Ads, content, tracking, analytics, and related services provided via the Doceree AdManager Platform or Publisher Properties are provided strictly “as is” and without any representation, warranty, or assurance, express or implied, including, without limitation, warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or compliance with applicable laws. Doceree expressly disclaims all liability for placement, performance, or outcomes arising from the display, use, or distribution of Ads or content on Publisher Properties. Publishers remain solely responsible for implementing Ads in accordance with this Ad Implementation Policy, the Ad Placement Policy, and all applicable laws.

9. Suspension, Termination, and Remedies

Doceree reserves the right, at its sole discretion, to suspend or terminate a Publisher’s participation in the Program, in whole or in part, for any violation of this Policy or the Ad Placement Policy. Suspension or termination may include, without limitation, the immediate withholding or forfeiture of accrued payments. Doceree may, in addition, pursue all available legal or equitable remedies, including claims for damages arising from non-compliance, improper placement, or misuse of Ads.

For minor or correctable violations, Doceree may, at its discretion, provide a limited cure period during which the Publisher may remediate the non-compliance. Failure to remedy within the specified period may result in further enforcement action, including permanent termination of participation.

10. Reporting Violations

For the purpose of publishing Ads provided by Doceree, Publishers must promptly report any observed or suspected violations of this Policy, including, but not limited to, exposure of Ads to prohibited content, malware, offensive user-generated content, or other non-compliant materials. Doceree reserves the right to conduct periodic audits of Publisher Properties to verify compliance and identify potential violations.

11. Intellectual Property Ownership

All intellectual property rights in Ads, including but not limited to logos, trademarks, text, images, videos, and interactive elements, remain the exclusive property of Doceree or its clients. Publishers are granted only a limited, non-transferable, revocable license to display Ads solely in accordance with this Policy.

Publishers shall not modify, reproduce, distribute, create derivative works, or otherwise exploit Ads without Doceree’s prior written consent. Any unauthorized use of Ads constitutes a violation of this Policy and may result in legal action. This Section applies in addition to, and does not limit, any other intellectual property rights held by Doceree or its clients under applicable law.

12. Audit and Access

Doceree or its authorized agents may, at any time and at its sole discretion, conduct audits, inspections, or technical assessments of Publisher Properties to ensure compliance with this Policy and the Ad Placement Policy.

Publishers must provide reasonable access, information, and technical cooperation to facilitate such audits, including access to reports, dashboards, or other monitoring tools. Failure to cooperate fully with an audit may result in immediate suspension or termination from the Program, forfeiture of accrued payments, and potential legal action.

13. Amendments

Doceree reserves the right to amend, modify, or update this Policy at any time in its sole discretion. Such amendments may include, without limitation, changes to prohibited content, technical requirements, operational rules, compliance obligations, or enforcement procedures.

Material changes will be communicated to Publishers through appropriate channels. Continued participation in the Program following any amendment constitutes acceptance of the revised Policy. Publishers are responsible for reviewing this Policy regularly to ensure ongoing compliance.

14. Grievance and Contact

Publishers or users who have questions, concerns, or complaints regarding this Policy, the placement of Ads, or compliance matters may submit a written notice to Doceree’s legal team. Notices must include sufficient detail to allow proper investigation, including the relevant Publisher Property URL(s), description of the issue, and supporting documentation.
